Terms of Service

Agreement

By creating an account or using never-delete (never-delete.app), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

Eligibility

You must be at least 16 years old. You may maintain one account per email addressper app variant (Standard, E2EE, or Encrypted). The same email may be registered separately on different variants.

Service description

never-delete provides subscription-based cloud backup, including a private vault, recycle bin, storage dashboard, and Future Sync (designated file sharing to nominees on inactivity or a fixed date). Features may change over time. The web dashboard is available today; native mobile apps may be offered separately.

Account and security

• You are responsible for keeping your credentials secure and for activity under your account
• Google sign-in is optional where offered
• Password reset is available via email OTP
• Notify us promptly if you suspect unauthorized access

Future Sync

Future Sync lets you assign vault files or folders to nominees and configure when they may receive access (after inactivity or on a fixed date). You represent that you have the right to share nominee email addresses and the content you assign. We are not responsible for disputes between you and your nominees. Nominee access is subject to the trigger conditions you set and our operational rules.

Subscriptions and billing

• Plans renew automatically until you cancel before the renewal date
• Upgrades may take effect immediately with prorated charges
• Downgrades typically apply at the next renewal
• Voluntary cancellation: no refund for unused time except where required by law
• Payment processing is handled by our payment provider; we do not store card numbers
• EU/UK: 14-day right of withdrawal on your first paid subscription (request in-app or via support)

Grace period and data deletion

If your subscription ends, you retain paid access until the current period ends, then a 30-day grace period applies to download your vault. After grace, vault content may be permanently deleted. Items in the recycle bin are removed after up to 30 days.

Account closure and reactivation

You may close your account in the app. Closing cancels your subscription and schedules vault deletion. You may reactivate a closed account with the same email (self-serve). Billing history may be retained as described in our Privacy Policy.

Acceptable use

Do not upload illegal content, malware, or material that infringes others' rights. Do not abuse, disrupt, or attempt to gain unauthorized access to the service or other users' data. We may suspend or terminate accounts that violate these terms or pose a security risk.

Your content

You retain ownership of files you upload. You grant us a limited license to store, process, transmit, and display your content as needed to provide the service (including backups, downloads, and Future Sync delivery). You are solely responsible for your content and for complying with applicable laws.

Intellectual property

never-delete, our logos, software, and website content are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described. You may not reverse engineer, copy, or resell the service except where permitted by law.

Availability

We strive to keep the service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. There is no uptime SLA unless we agree otherwise in writing.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR THE AMOUNT YOU PAID IF LESS).

If you use an E2EE or Encrypted variant, we cannot recover your vault if you lose your password or encryption keys. You are responsible for safeguarding credentials and recovery materials.

Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the service, your violation of these Terms, or your violation of others' rights.

Disputes and governing law

Please contact support@mail.never-delete.appfirst so we can try to resolve concerns informally. These Terms are governed by the laws applicable where the operator is established. Disputes shall be brought in the courts with jurisdiction over that location, unless mandatory consumer protection laws in your country require otherwise.

Changes to these terms

We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date. Where required, we will ask you to accept updated Terms before continuing to use the service.
